1. Acceptance of Terms

By accessing or using Beeprd, Inc. ("Beeprd," "we," "us," or "our") services at beeprd.com, our mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Beeprd, Inc. We reserve the right to update these Terms at any time as described in Section 17.

2. Account Registration

  • You must be at least 13 years of age to use the Services.
  • You must provide accurate, current, and complete information during registration and keep your account information updated.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must immediately notify Beeprd of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that provide false information.

3. Your Content and Signals

  • Ownership: You retain ownership of all content you create and publish through Beeprd, including signals, profile information, and connected platform data.
  • License to Beeprd: By publishing content through the Services, you grant Beeprd a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content solely for the purpose of operating, providing, and improving the Services.
  • Subscriber delivery: You acknowledge that content you publish as "signals" will be delivered to your subscribers according to their subscription preferences and tier settings.
  • Responsibility: You are solely responsible for the content you publish. Beeprd does not endorse, verify, or guarantee the accuracy of user-generated content.
  • Removal: We reserve the right to remove any content that violates these Terms or our Community Guidelines without notice.

4. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or to promote illegal activities.
  • Impersonate any person or entity or falsely state or misrepresent your affiliation.
  • Harass, abuse, threaten, or intimidate other users.
  • Send unsolicited bulk messages (spam) to subscribers or other users.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Attempt to gain unauthorized access to any portion of the Services, user accounts, or systems.
  • Use automated systems (bots, scrapers) to access the Services without our prior written consent.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.
  • Resell, sublicense, or redistribute the Services without written permission.
  • Circumvent any security or access control measures of the Services.
  • Use the Services to send false, misleading, or deceptive signals or notifications.
  • Collect or harvest personal information of other users without their consent.

5. Subscription Plans and Payments

  • Free plan: Beeprd offers a free plan with limited features. We reserve the right to modify free plan features at any time.
  • Paid plans: Pro and Teams plans are available for a monthly or annual subscription fee. Prices are subject to change with 30 days' notice.
  • Billing: By subscribing to a paid plan, you authorize Beeprd to charge the applicable fees to your payment method on a recurring basis until you cancel.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of the current billing period.
  • Refunds: We do not provide refunds for partial billing periods. Annual subscriptions may be eligible for a prorated refund within 14 days of purchase if the Services have been materially deficient.

6. Intellectual Property

  • The Services and all associated content, features, and functionality (excluding user content) are owned by Beeprd, Inc. and are protected by copyright, trademark, and other intellectual property laws.
  • The Beeprd name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Beeprd, Inc. You may not use these marks without our prior written permission.
  • You may not modify, adapt, reverse-engineer, decompile, or disassemble the Services or any part thereof.

7. Third-Party Services

The Services may integrate with third-party platforms and services (e.g., social media networks). Your use of such integrations is subject to the third party's terms and privacy policy. Beeprd is not responsible for the availability, accuracy, or practices of third-party services. Disconnection from a third-party service may affect the functionality of certain Beeprd features.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEEPRD, INC., ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services.
  • Any conduct or content of any third party on the Services.
  • Any content obtained from the Services.
  • Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Beeprd, Inc. and its directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and debts arising from:

  • Your use of and access to the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your content or signals that infringe or violate any third party's rights, including intellectual property, privacy, publicity, or proprietary rights.

11. Account Suspension and Termination

  • We reserve the right to suspend or terminate your account, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable.
  • Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that should naturally survive termination will remain in effect.
  • We are not liable for any loss of data, content, or functionality resulting from account suspension or termination.
  • You may delete your account at any time through your account settings. Upon deletion, your public profile and all associated data will be removed within 30 days.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Dispute Resolution and Arbitration

  • Informal resolution: You agree to first attempt to resolve any dispute informally by contacting us at legal@beeprd.com. We will attempt to resolve the dispute within 30 days.
  • Binding arbitration: If the dispute is not resolved informally, you agree to resolve it through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in the United States.
  • Class action waiver: You agree to resolve disputes with us only in an individual capacity and not in a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.
  • Jury trial waiver: You waive your right to a jury trial for any disputes with Beeprd.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes not resolved through arbitration shall be brought exclusively in the courts located in the State of Georgia.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely reflects the intent of the original provision.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Beeprd regarding the use of the Services and supersede all prior agreements and understandings.

17. Changes to These Terms

We may revise these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
